Terms of use

APhone Terms of Service


The APhone services are provided by SENATEL LTD, a company incorporated under the laws of Belize, with registered office at Philip Goldson Highway, New Horizon Building, Belize City, Belize ("APhone", "us", "our", or "we").


These Terms of Service, together with any additional terms and policies referenced or published on https://aphone.app (the "Site"), including without limitation APhone's Privacy Policy (collectively, the "Terms of Service"), govern your access to and use of the Services (as defined below) and the relationship between you and APhone.


IMPORTANT NOTICE


If you do not agree to these Terms of Service, we will not license the App or any other part of the Services to you, and you must immediately stop using the App, the Site, and the Services.


If you reside in a jurisdiction where it is prohibited by law to offer or use internet telephony or any of the Services we provide, you may not use the Services in that jurisdiction.


NO EMERGENCY CALLS — The App and other parts of the Services are not intended to replace your ordinary or fixed-line telephone service. The Services do not support and are not intended to carry emergency calls to hospitals, law enforcement agencies, medical care units, or any type of emergency service. The Services are also not intended to support calls to operator or directory enquiry services. APhone is not liable in any manner for such calls. You must ensure that you, or anyone using your Device, have alternative arrangements in place for making any such calls.


PERSONAL, NON-COMMERCIAL USE ONLY — The Services are intended exclusively for person-to-person communication with known personal contacts. Phone numbers provided by APhone are personal-rated numbers and must not be used for business, enterprise, commercial, or organizational purposes. You must not resell, sublicense, or commercially exploit any of the Services.



1. ACCEPTANCE OF TERMS OF SERVICE


You agree to be bound by these Terms of Service when you click "accept" in the sign-up flow. If you do not agree, you may not activate or use the Services. Once accepted, these Terms of Service constitute a binding agreement between you and APhone. By downloading the App from the Apple App Store or Google Play, you also agree to the applicable Apple and Google license terms, which bind you separately.


APhone may amend these Terms of Service from time to time. Updated Terms of Service will be published on the Site and are effective when published. Please review these Terms of Service regularly. Your continued use of the Services after publication, or your express acceptance of the amended Terms of Service, shall constitute your agreement to the updated version. If you do not accept any amendment, you must immediately stop accessing and using the Site, App, and Services.



2. THE SERVICES


APhone offers consumer VoIP communication services for personal use, including:


- Virtual phone numbers from the United States, the United Kingdom, Canada, and other countries made available from time to time within the App.

- Outbound international voice calling over internet-based technology.

- SMS messaging where supported by the underlying number and destination network.

- Voicemail and related personal communication features.


The Services, together with the App, the Site, and any related features, functions, content, or interactions, are collectively referred to in these Terms of Service as the "Services."


2.1 Use of the Services


You agree to use the Services only in a manner permitted by these Terms of Service and in compliance with all applicable laws, regulations, and generally accepted industry practices in any relevant jurisdiction (including without limitation any applicable export laws and regulations).


You must not use the Services, nor permit the Services to be used:


1. for sending any communication or message that:

   a. is defamatory, abusive, vulgar, obscene, or menacing;

   b. is false, inaccurate, misleading, or unlawful;

   c. is invasive of another person's privacy;

   d. is hateful or racially, ethnically, or otherwise objectionable; or

   e. APhone determines to be otherwise offensive or inappropriate;

2. for the persistent sending of messages without reasonable cause, or for the purpose of causing annoyance, inconvenience, or distress to any person;

3. in a way that contravenes any applicable law, regulation, or industry code or practice, or any other rules or guidelines published on the Site or otherwise communicated by APhone;

4. in any way that may have a detrimental effect on the goodwill or good standing of APhone or any of its suppliers or partners;

5. in any way that may expose APhone or its suppliers or partners to legal or administrative action, including prosecution under any laws;

6. to transmit any communication or message that may harm a minor;

7. to send unsolicited electronic commercial messages where the recipient has not consented to receive them;

8. to interfere with or disrupt APhone's business or the services, hardware, software, or networks of any supplier or partner;

9. in a way that infringes any person's intellectual property or other rights; or

10. in any other way that contravenes the requirements of any supplier or partner of APhone.


It is your responsibility to ensure you are legally permitted to use the Services where you are located. If applicable laws restrict or prohibit your use of the Services, you must comply with those laws or stop using the Services.


You acknowledge that the voice communication service provided by APhone is not a traditional telephone service or a replacement for your primary telephone service. Important distinctions (some, but not necessarily all, of which are described in these Terms) exist between traditional telephone service and the voice service provided by APhone.


You acknowledge that the features, functions, and other parts of the Services may change over time. APhone may, without prior notice, change the form and nature of the Services. Future versions of the App or Software may be incompatible with prior versions or third-party applications. APhone may, in its sole discretion and without prior notice, suspend or stop providing the Services to you or to users generally. APhone may release updates at any time but has no obligation to provide updates to you. It is your responsibility to use the latest available version of the App and Software where applicable.


2.2 Personal-Use Restriction


The Services are intended exclusively for person-to-person communication with known personal contacts. By using the Services, you represent and agree that:


(a) You are an individual end user using the Services for personal, non-commercial purposes;

(b) You will not use the Services for business, enterprise, commercial, organizational, or institutional communications;

(c) You will not use APhone phone numbers to send promotional, marketing, transactional, automated, or bulk messages of any kind;

(d) You will not use the Services to operate any service that resells, redistributes, or commercially exploits APhone phone numbers or messaging capacity, including but not limited to number leasing, account verification services, or messaging-as-a-service offerings;

(e) You will not use automated systems, scripts, bots, predictive dialers, auto-dialers, or any similar tools in connection with the Services;

(f) Your communications will be directed to known personal contacts who have consented to receive them.


APhone may, in its sole discretion, terminate any account that APhone reasonably believes is being used in violation of this section, with no obligation to refund any prepaid balance.


2.3 Phone Numbers Provided by APhone


Phone numbers are offered on a prepaid basis. If you fail to renew the applicable subscription, the phone number assigned to you will be canceled.


You acknowledge that under certain circumstances APhone may, in its sole discretion, cancel, substitute, or change phone numbers allocated to you. APhone shall not be liable for any damages (including consequential or special damages) arising from phone number allocations, substitutions, or cancellations.


Upon termination of your APhone account or termination of a phone number subscription, you will lose access to the phone numbers allocated to you. Those numbers may be reassigned to other customers, and once reassigned APhone will not be able to reallocate the same number back to you.


APhone uses commercially reasonable efforts to ensure interoperability of APhone phone numbers across mobile and fixed networks. However, because APhone relies on local interconnection partners in each country, APhone does not warrant or represent that any phone number will be reachable from all mobile or fixed networks, or that any phone number will support inbound SMS from all networks.


The Services must not be used to trigger callback services or to make collect calls. The minimum service term for any phone number is one (1) month from the order date.


2.4 Service Updates


APhone may, in its sole discretion, add features or functions, modify the Services, or release software updates, fixes, and upgrades. APhone shall not be liable for any direct or indirect damages caused by (i) the release or non-release of updates, or (ii) the suspension or termination of the Services by APhone or by you.


2.5 Your Account


To use the Services, you must register an APhone account (the "Account"). You agree to provide true, accurate, complete, and up-to-date information in all mandatory fields when registering, and to keep that information current. Upon registration, you will receive access to your Account.


You are fully responsible to APhone for all use of the Services connected to your Account, including any unauthorized or fraudulent use.


2.6 Unauthorized Use; Lost or Stolen Device


You are solely responsible for all activity that occurs in or is associated with your Account, regardless of whether such activity is undertaken by you or by a third party, and regardless of whether it is authorized.


APhone is not responsible for unauthorized access to your Account. You must contact APhone immediately to suspend the Services and block your Account if you suspect that the Device on which you use the Services has been lost or stolen, or that an unauthorized third party may be accessing your Account, or if your password or other Account credentials have been compromised. You are responsible for all charges incurred until the Account is suspended.


You may terminate your Account at any time in accordance with Section 4 ("Termination and Suspension"). APhone has no liability for your failure to comply with this section.


2.7 Prohibited Use and Restrictions


In addition to the personal-use restriction set forth in Section 2.2, you must not use the Services:


- In violation of any applicable laws, regulations, or guidelines. If your local laws restrict or prohibit the use of the Services, you must comply with those laws or stop using the Services.

- To send content that is unlawful, harassing, abusive, threatening, harmful, vulgar, obscene, invasive of privacy, or otherwise objectionable.

- To transmit content that infringes the intellectual property rights of any third party, including trademarks, copyrights, or trade secrets.

- For sending bulk SMS, unsolicited messages, telemarketing, or campaign-style messaging of any kind, including via predictive dialers or auto-dialers.

- To transmit, promote, or facilitate adult content, sexual services, or related material.

- To interfere with or abuse APhone's services, systems, or property, including any attempt to access systems without authorization, to transmit malware, or to use the Services in ways inconsistent with their intended purpose.

- To mislead others about your identity, create false identities, or engage in fraudulent or deceptive conduct.

- To operate any account-creation, account-verification, or one-time-password (OTP) handling service for the benefit of third parties.


Failure to comply with these restrictions may result in immediate termination of your access to the Services without refund.


2.8 Third-Party Services


You may choose to use your APhone phone number with third-party applications, platforms, or services. Any such use is solely at your discretion and risk. You acknowledge and agree that:


(a) Your use of any third-party application, platform, or service is governed exclusively by the terms of service, acceptable use policies, and privacy policies of that third-party provider, and not by APhone.


(b) APhone does not endorse, support, control, or take responsibility for any third-party application, platform, or service, including the availability, reliability, or functionality of any third-party service when used with an APhone phone number.


(c) APhone does not guarantee that any APhone phone number will be accepted, recognized, or remain in good standing with any third-party application, platform, or service. Third-party providers may, in their sole discretion, restrict, suspend, or terminate access to their services for any phone number, including APhone phone numbers.


(d) If access to a third-party application, platform, or service is restricted, suspended, or terminated in connection with your APhone phone number, you must direct any inquiries to that third-party provider. APhone does not provide support for, and shall have no liability arising from, your use of any third-party application, platform, or service.


(e) You are solely responsible for ensuring that your use of any third-party application, platform, or service complies with that provider's terms and all applicable laws.


2.9 Submission of Information to APhone


You agree that any comments, suggestions, feedback, documents, content, or other material or information that you provide, share, or publish in connection with the Services or otherwise in your contacts with APhone (including via blogs, forums, or support channels) is provided on a non-proprietary, non-exclusive, and non-confidential basis. You grant APhone a royalty-free, worldwide, transferable, sub-licensable, perpetual, and irrevocable license to use any such material or information. You are responsible for any material or information you provide, including its legality, reliability, appropriateness, originality, and compliance with intellectual property rights.


2.10 Disclosure of Information


APhone reserves the right at all times to disclose any data or information (in any form) as APhone reasonably deems necessary to satisfy any applicable law, regulation, legal process, or governmental request, or to edit, refuse to post, remove, or restrict any information or materials, in whole or in part, in APhone's sole discretion.


2.11 No Warranties


You expressly acknowledge and agree that your use of the Services is at your sole risk and that the entire risk as to satisfactory quality, performance, accuracy, and effort lies with you. To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available," with all faults and without warranty of any kind. APhone disclaims all warranties and conditions with respect to the Services, whether express, implied, or statutory, including the implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement.


APhone does not warrant against interference with your enjoyment of the Services, or that the Services will be uninterrupted or error-free, or that defects will be corrected. No oral or written information or advice given by APhone shall create a warranty. You assume the entire cost of any necessary servicing, repair, or correction.


You also acknowledge that APhone cannot guarantee that information or communications transmitted using the Services will not be subject to interception by law enforcement officials or other third parties.


2.12 Suspension and Interruption of the Services


APhone has the right, without any liability, to refuse to provide, restrict, limit, change, remove, disable, suspend, or interrupt the Services or any part thereof at any time and without prior notice for the repair, improvement, or upgrade of the Services.


2.13 Content of Communications


The content of communications made using the Services is determined entirely by the person from whom the content originates. You may therefore be exposed to content that is offensive, harmful, indecent, or otherwise objectionable. APhone is not liable for any communication transmitted by means of the Services.


2.14 No Emergency Calls


The Services do not support and are not intended to carry emergency calls to hospitals, law enforcement agencies, medical care units, or any other emergency services. APhone is not liable in any manner for such calls. If you permit another person to use your Account, you are responsible for informing that person that the Services do not support emergency calls. You must ensure that you, or anyone using your Account or Device, have alternative arrangements for making such calls.



3. PAYMENTS, BILLING, AND SUBSCRIPTIONS


3.1 In-App Purchases via Apple and Google


All purchases of APhone credits and Services are processed exclusively through Apple In-App Purchase on iOS or Google Play Billing on Android (collectively, the "Store"). Purchases are non-recurring one-time top-ups that add credits to your APhone account balance. APhone does not offer auto-renewing subscriptions through the Store and does not separately collect payment card information.


Phone number subscriptions and other paid features are deducted from your APhone account balance in accordance with Section 3.3.


By making a purchase, you authorize the Store to charge the payment method associated with your Apple ID or Google account, in accordance with the Store's own terms and conditions.


3.2 Prepaid Basis; Account Balance


The Services are offered on a prepaid basis. You agree to maintain a positive account balance in order to use paid Services. Accounts with a zero or negative balance may have outbound features (such as outbound calls or SMS) suspended or limited. Incoming calls and SMS may also be affected once a subscribed phone number is canceled for non-renewal.


3.3 Auto-Renewal of Subscriptions


3.3 Auto-Renewal of Phone Number Subscriptions


Phone number subscriptions automatically renew at the end of each billing period by deducting the applicable renewal fee from your APhone account balance.


You are responsible for maintaining a sufficient balance to cover renewals. If your APhone account balance is insufficient at the renewal date, the subscription will not be renewed and the associated phone number will be canceled. Once a phone number is canceled, it may be reassigned to another user and may not be available for reallocation to you.


You may disable auto-renewal for any subscription at any time through the App. You may also let a subscription lapse simply by allowing your balance to fall below the renewal amount before the renewal date. APhone is not obligated to notify you in advance of upcoming renewals or low-balance conditions, though such notifications may be provided as a courtesy.


3.4 Rates and Pricing


The rates for the Services are published on the Site and within the App. APhone reserves the right to change rates, plans, offers, or promotions at any time without notice. New rates apply to the next use of the Services after publication. If you do not accept a rate change, do not continue using the Services.


Unless stated otherwise, all rates are stated in US Dollars (USD) and are inclusive of applicable taxes. Local taxes, if any, are collected by the Store in accordance with its policies.


3.5 Minute Rounding


Call duration is measured in one-minute increments and rounded up to the next full minute. For example, a call of 7 minutes and 10 seconds is billed as 8 minutes.


3.6 Refunds


All purchases are non-refundable except as required by applicable law or the policies of Apple App Store or Google Play.


Because purchases are made through the Store, refund requests must be submitted directly to Apple (for iOS purchases) or Google (for Android purchases) through their respective support channels. APhone does not directly process refunds for Store transactions.


If you believe you have been charged in error, you may also contact APhone Customer Support at info@aphone.app for assistance, but the final refund decision rests with the Store in accordance with its policies.


Because the underlying telecommunications networks do not provide a precise and universal SMS delivery status, charges for SMS messages are non-refundable.


3.7 Chargebacks


Purchases through Apple App Store and Google Play are governed by the Store's own dispute and refund procedures. You agree to use those procedures rather than initiating a chargeback with your card issuer for any APhone-related charge. Initiating a chargeback or payment reversal outside the Store's dispute procedures may result in immediate termination of your Account and forfeiture of any prepaid balance.


3.8 Account Activity and Receipts


When you log in to your Account, you will find information relating to your use of the Services, such as recent calling history (for a limited retention period) and your current balance. Receipts and payment records for Store transactions are maintained by Apple or Google in your Store account. It is your responsibility to retain copies of any records you require.


3.9 Expiration of Credits


Any credit balance on your Account will expire twenty-four (24) months after the last activity on the Account. Credit balances not used within that period will be lost.



4. TERMINATION AND SUSPENSION


These Terms of Service remain in effect until terminated by you or APhone.


You may terminate these Terms of Service (and cancel your Account and Services) by emailing a termination notice to info@aphone.app. The Account will be canceled within five (5) business days of receipt of such notice. You may also stop using the Services and allow any active phone number subscriptions to lapse by disabling auto-renewal in the App or by letting your APhone account balance fall below the renewal amount.


APhone reserves the right to suspend or discontinue the Services generally, or to terminate your access to the Services, at any time in its sole discretion.


If APhone discontinues the Services generally, you will be responsible only for charges accrued through the date of termination.


If your access to the Services is terminated due to a violation of these Terms of Service (including, without limitation, breach of the personal-use restriction in Section 2.2 or the prohibited uses in Section 2.7), APhone may terminate your Account without notice. Upon such termination, you will not be entitled to any refund for purchases or prepaid balances.


Upon any termination, APhone will delete related information and files associated with your Account, reassign any phone numbers, and prevent further access to the Services.



5. MISCELLANEOUS


5.1 Assignment


APhone may assign all or part of its rights and obligations under these Terms of Service without notice to you. You may not assign any rights or obligations under these Terms of Service to any third party without APhone's prior written consent.


5.2 Limitation of Liability


In no event shall APhone, its subsidiaries, affiliates, officers, directors, employees, or agents — or any other service provider furnishing services in connection with APhone — be liable for any consequential, indirect, special, punitive, or incidental damages, or damages for loss of money, data, goodwill, reputation, business information, business profits, business interruption, or other pecuniary loss, that result from your use of or inability to use the Services or that otherwise arise under these Terms of Service, even if APhone has been advised of the possibility of such damages.


To the extent permitted by law, APhone's total aggregate liability for all damages and losses arising in connection with the use of or inability to use the Services, or otherwise arising under these Terms of Service, shall not exceed the amount actually paid by you to APhone for the Services in the five (5) month period immediately preceding the event giving rise to the claim, and in no case shall it exceed five thousand (5,000) Euros in total.


5.3 Indemnity


You agree to indemnify, defend, and hold harmless APhone, its subsidiaries, affiliates, officers, directors, employees, agents, and any other service provider furnishing services in connection with APhone, from any claim, demand, governmental investigation, or enforcement action (including reasonable attorneys' fees) made by any third party arising out of:


(a) your use of the Services, including any content or material you transmit;

(b) your breach of these Terms of Service; or

(c) your violation of the rights of any other person or entity.


5.4 Applicable Law and Competent Court


These Terms of Service shall be governed by and construed in accordance with the laws of Belize, without regard to conflict-of-laws principles. Any dispute, controversy, or claim arising out of or relating to these Terms of Service, your relationship with APhone, or any non-contractual obligations arising in connection therewith, shall be exclusively subject to the jurisdiction of the competent courts of Belize. Notwithstanding the foregoing, APhone may bring actions for injunctive relief in any court of competent jurisdiction.


5.5 Entire Agreement


These Terms of Service represent the entire agreement between you and APhone relating to your use of the Site, your Account, and any other part of the Services, and supersede all prior offers, understandings, agreements, and representations. These Terms of Service supersede any promises made by APhone customer service agents, representatives, or employees. These Terms of Service may not be modified or amended except as described herein or with APhone's written agreement.


If a court finds any provision of these Terms of Service to be invalid or unenforceable, the remainder shall continue in full force and effect.


5.6 Headings


Headings used in these Terms of Service are for convenience only and do not limit or affect any of the provisions hereof.


5.7 Ability to Contract


You hereby affirm that you are of legal age and fully able and competent to enter into these Terms of Service, and to abide by and comply with them.


5.8 Force Majeure


APhone will not be in breach of any of its obligations under these Terms of Service if it is unable to provide the Services as a result of a force majeure event. A force majeure event means any event beyond the reasonable control of APhone, including without limitation acts of God, war, civil unrest, natural disasters, pandemics, network or infrastructure failures, or actions of governments or telecommunications regulators.


5.9 Communications


If you wish to contact APhone, or if any condition of these Terms of Service requires you to give notice in writing, you may do so by email at info@aphone.app.
